Issuance of a legal opinion regarding administrative and financial penalties GE Garanti Bank S.A. risks if inadequacies are identified regarding failure to comply with the bank’s internal regulations, noted in an internal audit report, and if the internal audit report is not submitted/is denied submission, according to the request of the National Bank of Romania, the Supervision Department.

ELECTROPUTERE CRAIOVA S.A.
Issuance of a legal opinion for our client, Electroputere Craiova S.A., regarding evaluation of the legal possibilities to assign/convey/transfer accounts receivable under a credit agreement in execution, provided that the initial existing priority rank of the securities related to said receivables is preserved.

SOCIETATEA NAŢIONALĂ DE TRANSPORT AL ENERGIEI ELECTRICE ‚”TRANSELECTRICA” S.A.
Issuance of a legal opinion regarding the analysis of the conditions of the Romanian Power Grid Network/ A – Finance Contract and the conditions of the Romanian Power Grid Network/ B - Finance Contract, concluded between Societatea Naţională de Transport al Energiei Electrice ‚”Transelectrica” S.A., as borrower, and the EUROPEAN INVESTMENT BANK, as lender, each amounting to EUR 32,500,000 and both signed in Bucharest on August 3, 2010 and in Luxemburg, on August 5, 2010, respectively.

SOCIETATEA NAŢIONALĂ DE RADIOCOMUNICAŢII S.A.
Issuance of a legal opinion regarding the legal and contractual possibilities of Societatea Naţionala de Radiocomunicaţii S.A. to repurchase certain promissory notes issued in favor of certain lenders under supplier credit agreements and endorsed by the latter to Romanian credit institutions based on agreements for debt discounting/debt discounting without recourse.

AXIS BANK, SUCURSALA SINGAPORE
Issuance of a legal opinion regarding the analysis in consideration of the mandatory provisions of the Romanian law, of the A Loan Agreement for a loan of USD 47,600,000 granted by Axis Bank, the Singapore Branch, as lender, to Gold Matrix Resources PTE, LTD. , as borrower, and secured, inter alia, by TUBINOX S.A., as Corporate Guarantor C, which agreement was signed on December 7, 2010.

VOLKSBANK ROMÂNIA S.A.
Issuance of a legal opinion regarding the legal risks and consequences and the actions to be taken by Volksbank România S.A. to cover any damages and losses of the bank’s client, Restaurante Elements S.A., arisen from and in connection with the incorrect payment by the bank of the monies in the payment orders of the bank’s client, Restaurante Elements S.A., in breach of the regulations applicable to the joint signature of the representatives of Restaurante Elements S.A., based on the specimen signature certificate filed and registered with the Bank.

VOLKSBANK ROMÂNIA S.A.
Issuance of a legal opinion analyzing and evaluating the lawfulness of Volksbank România S.A. introducing the current account management fee to clients, individuals, as from October 30, 2009, under credit agreements concluded with clients, individuals, as borrowers and consumer;

„CFR MARFĂ” S.A.
Issuance of a legal opinion on the memorandum for the analysis and submission of the provisions of the syndicated loan agreement in the amount of EUR 120,000,000 signed on November 28, 2007, entered into with a financing syndicate, as lenders, and Societatea Naţională de Transport Feroviar Marfă „CFR MARFĂ” S.A., as borrower, considering the impact of this syndicated loan on the privatization strategy of S.NT.F.M. CFR Marfă S.A.

BANCA C.R. FIRENZE ROMÂNIA S.A
Legal assistance to Banca C.R. Firenze România S.A., Intesa Sanpaolo Bank S.p.A. and Banca Casa di Risparmio Firenze, Italia, for the submission for approval and adoption, respectively, by the ordinary and extraordinary general meetings of the shareholders of Banca C.R. Firenze România, of the amendments required to be made to the Constitutive Deed of the bank, and for the adoption of the corporate decisions required for the proper performance of the bank’s activities and operations.

Major Projects in 2009

Legal assistance provided to Oltchim SA for structuring the transaction to purchase the petrochemical activity within Arpechim refinery; advising on identifiying financing sources, negociations over the conditions for issuance of a state guarantee by Eximbank; negotiations of contractual conditions, of the relevant collateral and other aspects incident to the transaction such as: financial-banking, fiscal, according to local and the European legislation;

Legal assistance provided to Unicredit Tiriac Bank S.A. in order to negotiate the conditions of the lease agreement for a new office which will benefit from financing granted by the bank; structuring and identification of contractual clauses with a direct impact both on the financing and on the lease relation, designing a negotiation strategy considering the double relation between financier and the tenant;

Assistance provided to Volksbank in view of alignment of the conditions of loan agreements to the provisions of the National Bank of Romania as well as with the provisions of the legislation in force;

Legal advice to Intesa Sanpaolo Bank S.p.A. before the National Bank of Romania, for the notification of the acquisition of the controlling interest in CR Firenze SA;

Legal advice to SC Macromex SRL related to the partnership intended for the building up of a frozen bread products factory.
