Assistance, consultancy and representation in the privatization procedures

Assisting/representing clients in the preliminary stages of initiating privatization procedures: analyses of the diagnosis (due-diligence) for entities subject to privatization;elaboration or analysis of the strategies to be applied in particular privatization cases; analysis of documents relevant to the transaction(presentation file, technical specifications, etc).

Preparing participation documents in privatization procedures: stock sales, asset sales, incorporation of mixed-investment companies; capital increases with private contribution, modernisation and refurbishment with private capital contribution, Novations and/or Delegations having as object concluded privatisation agreements, etc.; Preparing financial and technical offers ;drafting legal opinions in respect of any aspects in connection with the organization of and/or participation in the privatization process; identifying practical and original solutions concerning the participation in the privatization procedures;

Assistance or representation of the clients within the negotiations concerning the conditions for the implementation of the transaction [wording and negotiating contractual clauses; wording and negotiating social agreements; wording and negotiating other documents relevant to the transaction].

Assistance, consultancy and representation in the post-privatization process

Monitoring the compliance with the obligation undertaken within the privatization process; issuing legal opinions in respect of any aspects relating to the post-privatization procedure; assisting clients in the structural and managerial restructuring subsequent to privatization;

Assistance and consultancy in carrying out procedures for the authorization of the economic concentration operations resulting from the privatization operations, authorization of the possible financial restructuring  measures, including elements of state aid,  according to the community legislation;

Assistance and consultancy in respect of any aspects of our clients’ current activity, with possible impact on the privatization and/or post-privatization procedures [including topics focusing on the domain of contracts, corporate law, capital market laws. Competition, public procurement, partnerships and other forms of association, labour law, judicial enforcement – special procedures; disputes in connection with or arising from our clients’ participation in privatization procedures, etc.];
