Bostina & Associates Lawyers assisted Solidmet SRL (the majority shareholder of SC Comvex SA) in the process for the suspension of the National Securities Commission (CNVM) decision whereby it approved Mittal Steel Holdings AG offer for the take-over of the company Comvex Constanţa. The offer is suspended until the final settlement of the case trial between the shareholders of the port operator and the CNVM.
The suspension of the decision issued by the CNVM was ordered by Bucharest Court of Appeal on 10 November 2008.
Subsequently, Comvex, assisted by Bostina & Associates, won in the Bucharest Court of Appeal the trial opened against CNVM whereby demanding the suspension of the Ordinance 636/2008 by which CNVM ordered the convening of an Extraordinary General Meeting of Shareholders with a view to validating a subscription by Expert Placement Services LTD, Mittal Steel Holdings AG subsidiary.
Comvex SA has the largest maritime terminal specialized in handling, storing and transshipping iron ores, coal, coke and bauxite in the Black Sea area.
